Terms of Service
Effective Date: November 24, 2025
This Terms of Service Agreement ("Agreement") is a legal agreement between you and Sparrow Intel LLC, a Delaware limited liability company ("Sparrow Intel" or "we"), governing your use of the Sparrow Intel software ("Software") provided by Sparrow Intel.
Use of Software
By accessing or using the Software, you agree to be bound by this Agreement. You may use the Software only for lawful purposes and in accordance with this Agreement. You agree to use the Software solely for your own use, and not for the benefit of any third party. You may not reproduce, duplicate, copy, sell, resell or exploit any portion of the Software for any commercial purposes.
User Accounts
In order to use the Software, you must create an account. You agree to provide accurate and complete information when creating your account, and to keep your account information up-to-date. You are responsible for maintaining the security of your account and password, and for any activity that occurs under your account.
Payment and Subscription Terms
The Software is a subscription-based service. By subscribing to the Software, you agree to pay all fees and charges associated with your subscription. Sparrow Intel reserves the right to change its subscription fees at any time, and will provide notice of any fee changes on its website. You may cancel your subscription at any time by contacting Sparrow Intel customer service.
Intellectual Property
The Software and its content are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Software without our prior written consent.
Confidentiality
You acknowledge that the Software contains confidential and proprietary information, and agree to keep such information confidential. You may not disclose or use any such confidential information without our prior written consent.
No Reverse Engineering
You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the Software.
Limitation of Liability
To the maximum extent permitted by law, Sparrow Intel shall not be liable for any damages arising out of or related to your use of the Software, including but not limited to direct, indirect, incidental, consequential, or punitive damages.
Indemnification
You agree to indemnify, defend, and hold harmless Sparrow Intel and its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software or your breach of this Agreement.
Termination
Sparrow Intel may terminate your access to the Software at any time, for any reason or no reason, without notice or liability.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Customer Logo Usage
By using the Software, you grant Sparrow Intel a non-exclusive, royalty-free license to use your company name and logo on the Sparrow Intel website and in marketing materials to identify you as a customer. This license remains in effect unless you provide written notice to withdraw this permission by contacting support@sparrowintel.com. Upon receipt of such notice, Sparrow Intel will remove your company name and logo from its website and marketing materials within a reasonable time period.
Entire Agreement
This Agreement constitutes the entire agreement between you and Sparrow Intel and supersedes all prior agreements or understandings, whether written or oral, with respect to the Software.
